Version 2.0, in force since 1 November 2026

1. Purpose and acceptance

These general terms of use (conditions générales d'utilisation, the "Terms of Use" or "CGU") set out the rules for accessing and using Raygister, whatever the User's role.

The use of paid features is also governed by the general terms of sale (conditions générales de vente, the "Terms of Sale" or "CGV"). In the event of a conflict, the Terms of Sale prevail for what they govern.

Creating an account, signing in, or using Raygister without an account (in particular answering a consultation through an invitation link) constitutes acceptance of the Terms of Use in their version in force. Earlier versions are provided on request at contact@raygister.com.

2. Definitions

  • "Raygister" or "the Publisher": QUOTIA, a simplified joint-stock company (société par actions simplifiée, SAS) with a share capital of 139,680 euros, registered with the Lille Métropole Trade and Companies Register (Registre du commerce et des sociétés, RCS) under number 102 497 377, whose registered office is at 165 avenue de Bretagne, 59000 Lille, France, and which operates the service under the trade name Raygister.

3. Description of the service

Raygister is online software that allows, depending on the User's role:

  • the Consultant: to create a project, break it down into work packages and specifications, upload and structure documents, invite Consulted Companies, exchange with them, compare offers, prepare presentations and scenarios for the Project Owner, and award a Works Contract;
  • the Consulted Company: to view the documents the Consultant sends it, ask questions, submit and revise an offer, and be awarded a Works Contract;
  • the Project Owner: to view the presentations and scenarios the Consultant chooses to share with them.

Raygister provides a tool. Raygister is not a project manager, a project owner's assistant (assistant à maîtrise d'ouvrage), a financial intermediary, a commercial agent, a broker or a coordinator, and is never a party to the Works Contract. Raygister does not design projects, does not choose the Consulted Companies and does not negotiate. The Platform's tools, including artificial intelligence, help the User draft their specifications and analyse offers, without replacing their choices (article 8).

4. Access and account

4.1 Creating an account. An account is created with an e-mail address confirmed by a single-use code, or with a Google account. The User provides accurate and up-to-date information, in particular their identity and, for an Organization, its company name and SIRET number.

4.2 Security. The account is personal. The User keeps their sign-in credentials confidential and informs Raygister without delay of any unauthorized use. Any action carried out from their account is deemed to have been carried out by them.

4.3 Organization. The User who creates an Organization becomes its administrator. Administrators invite members, set their role and are answerable for the use of the Platform by the members of their Organization.

4.4 Answering without an account. A Consulted Company may answer a Consultation without creating an account, from the personal link received by e-mail, after confirming its address with a single-use code. The person who answers in this way declares that they are authorized to bind the company on whose behalf they answer. The link is personal and must not be passed on.

4.5 Age and capacity. The Platform is reserved for persons of legal age with the capacity to enter into contracts.

5. Rules of use

The User undertakes to use the Platform fairly and lawfully. In particular, the User shall not:

  • upload Content that is unlawful, misleading, defamatory, or infringes the rights of a third party, in particular their intellectual property or privacy;
  • submit an offer they know to be inaccurate or present themselves under a false identity;
  • access or attempt to access data not intended for them, circumvent security measures or disrupt the operation of the Platform;
  • extract data from the Platform automatically or massively, copy or decompile it, or use it to develop a competing service;
  • solicit other Users for purposes unrelated to the project concerned;
  • circumvent the Platform in order to avoid the remuneration of Raygister provided for in the Terms of Sale.

6. Confidentiality between Users

Each Consulted Company only sees the documents the Consultant sends it and its own exchanges. A Consulted Company never sees the identity, prices, offers or exchanges of another Consulted Company.

The Consultant decides what to share with each Consulted Company and with the Project Owner. The Project Owner only sees what the Consultant shares with them.

Each User keeps confidential the documents and information they access in the course of a project and uses them only for that project.

7. Users' Content

7.1 Ownership. The User remains the owner of the rights in their Content. They warrant that they hold the rights and authorizations needed to upload and share it, including for any personal data of third parties it contains.

7.2 Licence. The User grants Raygister, worldwide and for as long as the Content is hosted, the non-exclusive and royalty-free right to host, reproduce, convert, index, analyse and display it, only to the extent necessary to provide the Platform, including through its technical processors.

7.3 Responsibility. The User is solely responsible for their Content. Raygister does not check its accuracy and acts, for its storage, as a hosting provider. Raygister promptly removes any manifestly unlawful Content reported to it as set out in the legal notice, and may suspend its author's access.

8. Artificial intelligence features

The Platform offers features based on artificial intelligence models: conversational assistant, reading and extraction of documents, plans and quotes, structuring of projects, drafting of specifications, matching and comparison of offers, suggestions of labels, prices or locations, voice dictation.

These features help with structuring, analysis and decision-making. Their results are proposals: they may be incomplete or wrong and constitute neither technical advice, nor legal advice, nor a commitment by Raygister. They do not replace the checks, expertise or trade-offs of the User, who verifies them before using them and remains solely responsible for the documents they produce and the decisions they make. Raygister takes no decision based solely on automated processing on behalf of Users.

Content processed by these features is not used to train artificial intelligence models. The providers used are listed in the privacy policy.

9. Organization library

An Organization may activate a library in which it uploads its own documents (specifications, quotes, price lists, catalogues) to adapt the assistant to its practices. Activation by an administrator constitutes an instruction given to Raygister to process these documents for that sole purpose, within the meaning of the data processing agreement. The Organization may withdraw this instruction at any time. The conditions of this processing are described in the privacy policy.

10. Availability and changes

Raygister uses reasonable means to ensure the availability, security and continuity of the Platform, without guaranteeing uninterrupted or error-free operation. Access may be suspended for maintenance, updates or security reasons, with prior notice where possible.

Raygister may change the Platform and its features. A change that removes an essential feature of an ongoing subscription is handled under the Terms of Sale.

11. Retention of Content

The Content of a project remains available to authorized Users for the whole life of the project.

Raygister keeps for ten (10) years the Content that led to the award of a Works Contract. Should Raygister cease its activity during this period, the Users concerned would be informed and would have access for at least one (1) month to archive this Content themselves.

Each User is responsible for keeping a copy of the documents they need.

12. Personal data

12.1 Principles. When the Platform is used, personal data may be processed by Raygister either as controller or as processor, depending on the purpose pursued and the nature of the operations carried out. Raygister and the Users undertake to comply with the applicable data protection rules, in particular Regulation (EU) 2016/679 of 27 April 2016 (the "GDPR") and the French Data Protection Act (loi n° 78-17 du 6 janvier 1978 relative à l'informatique, aux fichiers et aux libertés). The categories of data processed, the purposes, the retention periods, the recipients and the rights of data subjects are detailed in the privacy policy; the use of cookies is described in the cookie policy.

12.2 Raygister as controller. Raygister acts as controller for the processing needed for:

  • managing Users' accounts and authentication;
  • the administrative, contractual and commercial management of the relationship with Users;
  • billing, payments and the Commission;
  • preventing fraud, abuse and circumvention of the Platform, and defending its rights;
  • the security, maintenance, technical administration, logging and improvement of the Platform;
  • handling the requests addressed to it and support;
  • complying with its legal and regulatory obligations.

12.3 Raygister as processor. When it hosts, stores, structures, organizes, analyses, makes accessible, transmits or makes available the Content, documents, exchanges and more generally the data imported or entered by Users for a project, a Consultation or a Works Contract, Raygister acts as processor on behalf of the Organization or Professional User that determines the purposes and essential means of the processing. The data processing agreement annexed to the Terms of Use then applies and forms an integral part of them.

13. Raygister's intellectual property

The Platform, its software, its databases, its trademark and its graphic elements belong to QUOTIA. Raygister grants the User, for the duration of their use, a personal, non-exclusive and non-transferable right to use the Platform in accordance with the Terms of Use. No other right is granted.

14. Liability

14.1 Principle. Raygister is responsible for providing the Platform. Raygister is not responsible for Users' Content, the Consultant's technical or financial choices, the selection of Consulted Companies, the content and prices of offers, the solvency of the parties involved, the performance or quality of the works, or disputes between Users.

14.2 Professional Users. Towards a Professional User, Raygister's liability is limited to direct and foreseeable damage, and capped, for all causes combined, at the amount excluding VAT of the sums paid by that User or their Organization to Raygister during the twelve (12) months preceding the event giving rise to the claim. Raygister is not liable for indirect damage, such as loss of turnover, contracts, customers, or data of which the User did not keep a copy.

14.3 Consumers. Towards a Consumer, Raygister is liable under the ordinary rules of law, and no provision of the Terms of Use limits the rights the law grants them.

14.4 Limits. No limitation applies in the event of gross negligence or wilful misconduct, personal injury, or where the law prohibits it.

15. Suspension and end of use

15.1 By the User. The User may stop using the Platform at any time and delete their account from their settings. The end of a paid subscription follows the Terms of Sale.

15.2 By Raygister. In the event of a breach of the Terms of Use, Raygister may, after a formal notice that remains without effect for eight (8) days, suspend or delete the User's access. In the event of a serious breach (fraud, circumvention, breach of security or of a third party's rights), the suspension may be immediate. Raygister may also close the account of a free User with thirty (30) days' notice.

15.3 Effects. The data is then kept or deleted in accordance with the privacy policy. Articles 7, 11, 12, 13, 14 and 18, as well as the data processing agreement for the data still kept, survive the end of use.

16. Changes to the Terms of Use

Raygister may change the Terms of Use. Any substantial change is brought to the attention of Users with an account by e-mail or by a message in the Platform at least thirty (30) days before it comes into force, unless the change is required by law or by the security of the Platform. A User who refuses the new version may delete their account before that date. Continued use after that date constitutes acceptance.

17. Provisions specific to consumers

A Project Owner who is a Consumer uses the Platform free of charge to view what the Consultant shares with them. They benefit from all the mandatory provisions of the French Consumer Code (Code de la consommation), which prevail over any contrary provision of the Terms of Use.

In the event of a dispute, the Consumer may send a complaint to contact@raygister.com. They may bring proceedings, at their choice, before the court of the place where they lived when the contract was concluded or when the harmful event occurred, or before any other court with jurisdiction under the law.

18. Governing law and disputes

The Terms of Use are governed by French law. The parties first seek an amicable solution.

For any dispute between Raygister and a Professional User who is a trader (commerçant), exclusive jurisdiction is granted to the Commercial Court of Lille Métropole (tribunal de commerce de Lille Métropole), including for summary proceedings or where there are several defendants. For other Users, the statutory rules of jurisdiction apply.
